RESCUETAP TERMS OF USE

Contractual Relationship

These Terms of Use ("Terms") outline the conditions for accessing and using the applications, websites, content, products, and services (collectively referred to as the "Services") provided by RescueTap, a private limited company registered in Nigeria, with its offices located at 22 Kigoma Street, Wuse Zone 7, Abuja.

PLEASE READ THESE TERMS CAREFULLY BEFORE USING OUR SERVICES.

By accessing or using our Services, you agree to be bound by these Terms, forming a contractual agreement between you and RescueTap. If you do not agree with these Terms, you are not permitted to access or use the Services. These Terms override any previous agreements or arrangements between you and RescueTap.

RescueTap reserves the right to terminate these Terms, discontinue its Services, or restrict access to them—whether in whole or in part—at any time and for any reason.

Additional supplementary terms may apply to specific Services, including policies related to events, promotions, or activities. These supplemental terms will be communicated alongside the relevant Services and will be considered an extension of these Terms. If there is any conflict between the supplemental terms and these Terms, the supplemental terms will take precedence.

RescueTap may update or modify these Terms periodically. Any changes will become effective once posted at this location or within the relevant Service. Your continued use of the Services after such updates constitutes your acceptance of the revised Terms.

RescueTap collects and uses personal information under its Privacy Policy, available at (docs, landing page or website)notice. In the event of a complaint, dispute, or conflict, RescueTap may share necessary details, including your contact information, with an insurer or claims processor to facilitate resolution.

Technology Platform & License Terms

The Services provided by RescueTap function as a technology platform that allows users of RescueTap's mobile applications and websites (each referred to as an "Application") to connect with emergency service providers, including private ambulances, doctors, medical staff, and drivers, who operate under agreements with RescueTap or its affiliates (collectively referred to as "Third-Party Providers"). Unless otherwise stated in a separate written agreement with RescueTap, these Services are available solely for personal, non-commercial use.

License Grant

Provided you comply with these Terms, RescueTap grants you a limited, non-exclusive, non-sublicensable, revocable, and non-transferable license to:

• Access and use the Applications on your device strictly to utilize the Services.
• Access and use any content, information, or related materials made available through the Services, but only for personal, non-commercial purposes.

All rights not explicitly granted under these Terms remain the property of RescueTap or its licensors.

Restrictions

You are prohibited from:

• Removing or altering any copyright, trademark, or proprietary notices from any part of the Services.
• Reproducing, modifying, distributing, licensing, leasing, selling, reselling, transferring, publicly displaying or performing, transmitting, streaming, or otherwise exploiting the Services, except as explicitly permitted by RescueTap.
• Decompiling, reverse-engineering, or disassembling any part of the Services, unless permitted by applicable law.
• Linking to, mirroring, or framing any portion of the Services.
• Launching or running programs or scripts for scraping, indexing, surveying, data mining, or any activity that disrupts, burdens, or interferes with the operation of the Services.
• Attempting unauthorized access to the Services or interfering with its systems or networks.

Third-Party Services and Content

The Services may integrate with or provide access to third-party services and content (including advertisements) that RescueTap does not control. You acknowledge that these external services and content may be subject to separate terms of use and privacy policies, which will apply to your interactions with them. RescueTap does not endorse, manage, or take responsibility for any products or services provided by third-party entities.

Additionally, if you access the Services through Apple iOS, Android, Microsoft Windows, or BlackBerry-powered devices, then Apple Inc., Google Inc., Microsoft Corporation, and their international affiliates are considered third-party beneficiaries of this agreement. However, these companies are not parties to this contract and hold no responsibility for the provision or support of the Services. Your use of the Services on these platforms is governed by their respective terms of service.

Ownership

The services, along with all associated rights and intellectual property are and will remain the sole property of RescueTap or its licensors. Your use of the Services does not grant you any ownership or rights to:

• The Services themselves, except for the limited license provided as outlined in these Terms.
• RescueTap's brand elements, including its company name, logos, product and service names, trademarks, or service marks, or those belonging to its licensors, in any form or manner.

User Accounts

To access most features of the Services, you are required to register and maintain an active personal account ("Account"). To create an Account, you must be at least 18 years old or meet the legal age of majority in your jurisdiction if it differs from 18.

During registration, you must provide RescueTap with certain personal details, including your name, address, mobile phone number, age, and at least one valid payment method (such as a credit card or an approved payment provider). You must ensure that all information associated with your Account is accurate, complete, and up to date at all times. Failure to do so—including having an expired or invalid payment method on file—may result in restricted access to the Services or the termination of your agreement with RescueTap.

You are solely responsible for all activities carried out through your Account and must maintain the confidentiality of your username and password. Unless explicitly permitted by RescueTap in writing, you are allowed to register for only one account.

User-Generated Content

At its sole discretion, RescueTap may allow you to submit, upload, publish, or share various forms of content through its Services. This may include text, audio, video, feedback, support requests, and entries for promotions or competitions ("User Content"). While you retain ownership of any User Content you provide, by submitting it to RescueTap, you grant the company a global, permanent, irrevocable, transferable, and royalty-free license—including the right to sublicense—to use, copy, modify, distribute, publicly display, create derivative works of, and otherwise utilize the content in any format or distribution channel, whether currently existing or developed in the future. This can include use on RescueTap's platforms, business operations, and third-party sites, without requiring further consent or compensation to you or any other party.

By submitting User Content, you confirm that:

• You either own the content exclusively or have obtained all necessary rights, licenses, and permissions to grant RescueTap the above license.
• Your content and its use by RescueTap do not violate any third-party rights, including intellectual property, privacy, publicity rights, or any applicable laws or regulations.

You also agree not to submit content that is defamatory, obscene, violent, hateful, pornographic, unlawful, or otherwise offensive. RescueTap reserves the right—but is not obligated—to review, monitor, and remove any User Content at its discretion, without prior notice.

Network Access & Devices

You are responsible for securing the necessary data network access to use RescueTap's Services. Your mobile carrier's data and messaging fees may apply when accessing the platform via a wireless-enabled device, and you bear sole responsibility for such costs.

Additionally, you must obtain and maintain compatible devices and hardware needed to use the Services and Applications, including any necessary updates. RescueTap does not guarantee that its Services will be compatible with all hardware or devices, and performance may be affected by internet connectivity issues or electronic communication disruptions.

Payment and Charges

By using RescueTap's Services, you acknowledge that you may incur charges for goods or services provided by Third Party Providers ("Charges"). Once you receive these goods or services, RescueTap will process the payment on behalf of the Third Party Provider acting as their authorized payment collection agent. This means that your payment to RescueTap will be considered equivalent to a direct payment made to the Third Party Provider.

Charges may include additional fees, such as booking private/personal doctors, and any applicable taxes as required by law. Unless otherwise determined by RescueTap, all payments made are final and non-refundable. However, you retain the right to negotiate a lower charge directly with the Third Party Provider at the time of service. If a Third Party Provider requests a price adjustment, RescueTap will consider the request accordingly.

Pricing Adjustments and Promotions

RescueTap reserves the right to modify, add, or remove Charges for any of its Services or Goods at its sole discretion. You also understand that in certain geographical locations or periods of high demand, Charges may significantly increase. While RescueTap will make reasonable efforts to inform you of applicable Charges, you are responsible for all costs incurred under your Account, whether or not you were explicitly aware of them.

Occasionally, RescueTap may offer promotional discounts or special pricing to certain users, leading to varying Charges for similar services. You acknowledge that such promotions or discounts are independent of your Charges and do not entitle you to similar pricing unless explicitly offered to you. Additionally, if you choose to cancel a service request before the Third Party Provider arrives, a cancellation fee may apply.

Gratuities and User Feedback

The payment structure is designed to fully compensate the Third Party Provider for their services or goods. Unless stated otherwise for specific transportation services, RescueTap does not designate any portion of your payment as a tip or gratuity. Any statements by RescueTap indicating that tipping is "optional," "not required," or "included" do not imply that additional amounts are paid to the Third Party Provider beyond the stated charges.

You are free to provide a gratuity at your discretion, but it is completely voluntary. Once you have received a service or product through the RescueTap platform, you will also have the opportunity to rate your experience and provide feedback regarding the third-party Provider.

DISCLAIMER

THE RESCUETAP SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. RESCUETAP MAKES NO GUARANTEES OR WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, THAT ARE NOT EXPLICITLY STATED IN THESE TERMS. THIS INCLUDES BUT IS NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

FURTHERMORE, RESCUETAP DOES NOT GUARANTEE THAT THE SERVICES OR ANY GOODS OR SERVICES OBTAINED THROUGH THEM WILL BE RELIABLE, TIMELY, OF A CERTAIN QUALITY, SUITABLE, AVAILABLE, UNINTERRUPTED, OR ERROR-FREE. RESCUETAP ALSO DOES NOT MAKE ASSURANCES REGARDING THE SAFETY, SUITABILITY, OR CAPABILITIES OF THIRD PARTY PROVIDERS. BY USING THE SERVICES, YOU ACKNOWLEDGE AND ACCEPT THAT YOU ASSUME ALL RISKS RELATED TO THEIR USE TO THE MAXIMUM EXTENT PERMITTED BY LAW.

LIMITATION OF LIABILITY

RESCUETAP SHALL NOT BE HELD RESPONSIBLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, PERSONAL INJURY, OR PROPERTY DAMAGE RESULTING FROM OR RELATED TO YOUR USE OF THE SERVICES. THIS APPLIES EVEN IF RESCUETAP HAS BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGES.

ADDITIONALLY, RESCUETAP IS NOT LIABLE FOR:

• YOUR USE OR RELIANCE ON THE SERVICES, OR ANY INABILITY TO ACCESS OR USE THEM.
• ANY TRANSACTIONS OR RELATIONSHIPS BETWEEN YOU AND THIRD PARTY PROVIDERS, EVEN IF RESCUETAP HAS BEEN INFORMED OF POTENTIAL ISSUES.
• DELAYS OR FAILURES IN SERVICE DUE TO FACTORS BEYOND RESCUETAP'S CONTROL.

IF ANY THIRD PARTY PROVIDERS OFFER ADDITIONAL SERVICES, RESCUETAP ASSUMES NO RESPONSIBILITY OR LIABILITY FOR THOSE SERVICES BEYOND WHAT IS EXPRESSLY STATED IN THESE TERMS.

IN ANY CASE, RESCUETAP'S MAXIMUM TOTAL LIABILITY FOR ANY DAMAGES, LOSSES, OR CLAIMS ARISING FROM YOUR USE OF THE SERVICES SHALL NOT EXCEED $200.

SOME CONSUMER RIGHTS CANNOT BE EXCLUDED UNDER APPLICABLE LAW, AND NOTHING IN THIS SECTION IS INTENDED TO OVERRIDE OR ALTER THOSE RIGHTS.

Indemnification

You agree to defend, indemnify, and hold harmless RescueTap, along with its officers, directors, employees, and agents, from any claims, demands, losses, liabilities, or expenses (including legal fees) that arise from:

• Your use of the Services, including any services obtained through them.
• Your violation of these Terms.
• RescueTap's use of your User Content.
• Your infringement on the rights of third parties, including Third Party Providers.

Governing Law; Arbitration

Except as otherwise stated in these terms, this agreement shall be governed and interpreted exclusively in accordance with the laws of Nigeria. Any dispute, conflict, claim, or controversy arising from or related to the services or these terms shall follow the dispute resolution process outlined below.

If a dispute remains unresolved within sixty (60) days after a request for mediation has been submitted under the ICC mediation rules, the matter may be referred to arbitration in accordance with the rules of arbitration of the international chamber of commerce ("ICC arbitration rules"). The emergency arbitrator provisions under the ICC rules shall not apply.

The dispute shall be settled by a single arbitrator, appointed according to the ICC rules. Both mediation and arbitration shall take place in Nigeria, and the proceedings shall be conducted in English. However, if you do not speak English, the proceedings shall be held in both English and your native language.

Claims of Copyright Infringement

If you believe your copyright has been infringed, please direct your claim to RescueTap's designated agent. For the designated contact details and further information, visit Rescuetap's official webpage at [website link].

Notice

Rescuetap may provide notifications through a general announcement on the services, by sending an email to the address registered in your account, or by mailing a written notice to your provided account address. You may send notices to Rescuetap by written communication addressed to No. 22 Kigoma Street, Use Zone 7, Abuja.

General Provisions

You may not assign or transfer these terms, in whole or in part, without obtaining Rescuetap's prior written consent. However, you grant Rescuetap the right to assign or transfer these terms, in whole or in part, to:

• a subsidiary or affiliate of Rescuetap;
• an entity that acquires rescuetap's equity, business, or assets

These terms represent the complete agreement between the parties regarding their subject matter and supersede all prior or simultaneous agreements related to the same. In these terms, the terms "including" and "include" shall mean "including, but not limited to."
